These Terms and Conditions (“Terms”) govern (1) your use of this website and (2) all travel planning, advisory, and booking services provided by Conviva Travel Club LLC and Katherine Flynn, Independent Travel Advisor (“Company,” “Travel Advisor,” “we,” “us,” or “our”). By accessing this website, submitting an inquiry, paying a planning fee, signing or accepting a proposal or agreement, or authorizing travel bookings, you (“Client,” “you”) agree to be bound by these Terms.
If you do not agree, please do not use this website or request services.
1. Company Information
This website is owned and operated by Conviva Travel Club LLC. Our principal place of business is located in Los Angeles, California.
California Seller of Travel Registration No. 2151995-50.
2. Website Use; Assumption of Risk; Changes to Terms
Use of this website is at your own risk. We host this site on a reputable platform and take reasonable efforts to maintain it; however, we make no representations or warranties as to the safety, security, or uninterrupted operation of the website or your individual use of it.
We may modify or update these Terms at any time. Changes will be posted on this page with an updated revision date. Your continued use of the website or our services after changes are posted constitutes acceptance of the updated Terms.
3. Eligibility & Client Responsibilities
By using our services, you represent and warrant that:
You are at least 18 years of age and have the legal authority to enter into this Agreement.
You are financially responsible for all travel arrangements made for yourself and any members of your traveling party.
All information you provide is accurate, complete, and current, including traveler names, dates of birth, passport details, preferences, and payment authorization.
You will promptly notify us of any changes to traveler information.
4. Scope of Services
Conviva Travel Club provides professional travel planning and booking services, which may be customized for each Client and may include:
- Hotel research, recommendations, reservations, and ongoing reservation management
- Full day-by-day itinerary planning
- Coordination of flights (when requested), trains, ferries, private transfers, and rental cars
- Dining, spa, and activity reservations
- Travel insurance coordination
- Pre-departure support and limited on-trip assistance
- Group travel planning and coordination, as specified in the agreed scope of work
Conviva Travel Club acts solely as an intermediary between Client and third-party travel suppliers. All travel services are provided by independent suppliers and are subject to their individual terms and conditions.
5. Products & Suppliers; Separate Supplier Terms
We sell and arrange travel-related products and services from third-party suppliers, which may include tour operators, cruise lines, hotels, airlines, air charters, ground transportation providers, and other independent contractors (“Suppliers”). Each Supplier has its own terms and conditions. You agree to review, acknowledge, accept, and comply with all Supplier terms applicable to your bookings.
We do not own or operate Suppliers and we are not a co-supplier of their products or services. Your contract for each travel component is ultimately between you and the applicable Supplier. Suppliers and their affiliates or booking channels may substitute accommodations, alter itineraries, withdraw services, or make adjustments due to unforeseen circumstances.
6. Booking Process; Confirmation; Independent Arrangements
- Form Submission. To request services or a booking, you may be required to complete an inquiry form or provide written approval. You are responsible for providing accurate and complete information.
- Booking Confirmation. A booking is not confirmed until you receive written confirmation (email, invoice, ticket, voucher, or itinerary confirmation) reflecting that the Supplier has accepted and issued the reservation and any required payment has been processed.
- Offer to Purchase; Supplier Acceptance. When purchasing travel through us, you understand that you are making an offer to purchase travel services. Our acknowledgement email is not the contractual acceptance of the booking. A binding contract is formed when the Supplier confirms and issues a ticket, voucher, and/or reservation confirmation number.
- Receipts and Itemization. We are not required to provide an itemized breakdown of itinerary pricing. We may retain receipts for your records where available.
- Independent Arrangements. We are not responsible for any travel arrangements made independently of Conviva Travel Club. We assume no responsibility for costs or fees you incur for independent arrangements not booked through us, including airline, hotel, excursions, dining, or travel protection charges.
7. Planning Fees
Planning fees are disclosed in advance and agreed to in writing prior to the commencement of work.
All planning fees are non-refundable and are not covered by travel insurance.
Planning fees cover professional services only and do not include the cost of travel services purchased from Suppliers.
8. Pricing, Quotes & Availability
- All prices are subject to availability and Supplier confirmation.
- Travel pricing is dynamic and may change due to demand, availability, currency fluctuations, or Supplier policies.
- Prices are not guaranteed until booked and confirmed with payment.
- Certain itinerary pricing may not be itemized depending on Supplier packaging and contracting.
Itinerary Price Conditions. Unless expressly stated otherwise in writing:
- Prices may include certain taxes and fees, but final pricing may change until full payment is received.
- Airfare and hotel rules (including cancellation, change, and rebooking fees) are governed by the carrier or Supplier.
- Hotels may be booked as run-of-house unless otherwise stated.
- Airlines may impose post-purchase price increases and/or seat selection fees.
- Baggage fees, resort fees, conversion rate fees, and foreign transaction fees may apply and are the Client’s responsibility unless expressly included.
9. Payments & Credit Card Authorization
Client agrees to pay all travel costs according to Supplier terms and deadlines. Failure to make timely payments or comply with Supplier rules may result in cancellation, denied access to travel services, and forfeiture of monies paid.
By providing payment information or signing a credit card authorization, Client confirms they are an authorized user and authorizes Conviva Travel Club to process payments on Client’s behalf. Client is responsible for all charges, fees, duties, taxes, and assessments arising out of travel bookings.
Chargebacks. Client agrees not to initiate chargebacks or payment disputes as a means to avoid Supplier or Company terms, except in cases of fraud or where services were not provided or grossly misrepresented. If Client attempts to chargeback, reverse, or recollect a previously authorized payment, Conviva Travel Club reserves the right to collect additional costs, fees, and expenses associated with such action, including attorney fees where permitted by law.
10. Cancellations, Modifications & Refunds
All bookings are subject to the individual cancellation, modification, and refund policies of each Supplier.
- Many travel services are non-refundable or partially refundable.
- All cancellation or modification requests must be submitted in writing.
- Conviva Travel Club will assist in facilitating changes or refunds when possible, but we are not responsible for Supplier refund decisions.
- Conviva Travel Club is not responsible for penalties resulting from late requests or Supplier policies.
- Any Supplier fees incurred due to changes or cancellations are the responsibility of the Client.
11. Company Service Fees (Cancellations & Rescheduling)
In addition to any penalties imposed by travel suppliers, Conviva Travel Club charges administrative service fees for cancellation or rescheduling requests related to full-itinerary planning and hotel-only bookings. These fees reflect the time and coordination required to modify confirmed arrangements and apply based on the number of days prior to the trip start date:
Full Itinerary Clients
90–60 days prior to departure
• 5% cancellation fee
• 2.5% reschedule fee
60–30 days prior to departure
• 7.5% cancellation fee
• 3.5% reschedule fee
30–0 days prior to departure
• 10% cancellation fee
• 5% reschedule fee
Hotel-Only Reservations
90–60 days prior to departure
• 3% cancellation fee (minimum $250)
• 1.5% reschedule fee (minimum $125)
60–30 days prior to departure
• 5% cancellation fee (minimum $350)
• 2.5% reschedule fee (minimum $175)
30–0 days prior to departure
• 7% cancellation fee (minimum $500)
• 3.5% reschedule fee (minimum $250)
These fees are separate from and in addition to any Supplier-imposed cancellation or change penalties and are charged as outlined on our website and/or in your proposal or fee agreement.
12. Unused Arrangements; Minimum Passenger Requirements; Trip Alterations
When tour, cruise, or package prices are based on Supplier contract rates, Client may not be entitled to any refund for unused portions of travel.
Some group tours require a minimum number of participants. If minimums are not met, a surcharge may apply or the tour may be cancelled in accordance with the Supplier’s policies.
If Client requests changes to confirmed arrangements before departure or during the trip, Conviva Travel Club will attempt to assist; certain bookings may not be changeable. All change requests must be made in writing. Suppliers may alter itineraries due to circumstances such as severe weather, and such alterations are at the Supplier’s sole discretion.
13. Travel Insurance
Travel insurance is strongly recommended and is not included unless purchased separately.
Client is solely responsible for selecting appropriate coverage and reviewing policy terms upon receipt. All claims must be filed directly with the insurer. Conviva Travel Club does not evaluate, adjudicate, or manage insurance claims and is not responsible for insurer coverage decisions or claim outcomes.
If Client declines travel insurance, Client accepts full responsibility for any cancellation penalties, medical expenses, and out-of-pocket costs incurred.
14. Travel Documents, Legal Names, Health & Advisories
Client is solely responsible for valid passports, visas, and entry requirements; ensuring all traveler names exactly match government-issued identification; monitoring travel advisories and destination requirements; and determining personal fitness to travel.
Client must immediately review booking confirmations and verify all details, including traveler names, dates of birth, departure/arrival times, airports, accommodations, and activities. Client assumes responsibility for any costs or losses resulting from failure to report errors promptly.
Conviva Travel Club is not responsible for denied boarding, denied entry, immigration issues, or resulting financial loss.
Traveling with Minors. Clients traveling with minors are responsible for carrying all legally required documentation, including notarized consent forms where applicable. Client agrees any minor traveling is in Client’s legal care and that Client assumes all responsibility for risks associated with minor travel.
15. Assumption of Risk; Release of Liability
Travel involves inherent risks that may include injury, illness, death, property loss, delays, disruptions, accidents, weather events, and other hazards. Client voluntarily assumes all risks associated with travel and participation in activities, including strenuous activities and conditions that may be dangerous or unpredictable.
To the fullest extent permitted by law, Client releases Conviva Travel Club and its owners, employees, agents, contractors, and affiliates from claims arising out of travel or activities, except to the extent caused by gross negligence or willful misconduct where such limitation is not permitted by law.
16. Third-Party Suppliers & Limitation of Liability; Force Majeure
Conviva Travel Club does not own, operate, or control any travel suppliers and is not responsible for their acts or omissions.
To the fullest extent permitted by law, Conviva Travel Club is not liable for injury, illness, death, property damage, delays, cancellations, service failures, schedule changes, lost or delayed baggage, Supplier bankruptcy or cessation, or losses arising from travel or Supplier services. No guarantees are made regarding upgrades, amenities, or special requests.
Any liability is strictly limited to the amount of fees or commission actually received by Conviva Travel Club for the booking at issue.
Conviva Travel Club is not liable for events beyond its control, including natural disasters, pandemics, strikes, civil unrest, war, terrorism, government actions, equipment failures, system failures, or other force majeure events.
17. Currency Fluctuations; Foreign Transaction Fees
Currency exchange rates fluctuate. Prices may change due to exchange rate shifts. Conviva Travel Club is not responsible for surcharges or foreign transaction fees imposed by Client’s bank or credit card.
18. Confidentiality; Non-Disclosure of Itineraries
Client acknowledges that itineraries created by Conviva Travel Club are confidential information. Client agrees not to share, distribute, publish, or reproduce the itinerary except for limited purposes such as providing it to an emergency contact or for insurance coverage.
We will not disclose Client’s personal travel details to third parties except as necessary to arrange travel services, as described in these Terms and our Privacy Policy, or with Client’s written permission.
19. Communications Submitted Through the Website
Any communications made through our website (including blog comments, newsletter sign-ups, forms, or direct messages) are not privileged or confidential and may be viewed by or transmitted through third parties (such as service providers). We may republish submissions as reasonably necessary in the course of our business. You agree not to submit unlawful, abusive, defamatory, obscene, or otherwise harmful content.
20. Website Content; Intellectual Property
All website content, itineraries, designs, text, photographs, graphics, and branding are the intellectual property of Conviva Travel Club LLC and are protected by U.S. copyright and other laws. You may not copy, reproduce, modify, distribute, or republish any portion of the site without prior written permission. We reserve the right to seek all legal remedies for unauthorized use, including damages and injunctive relief.
21. Disclaimers
This website and all services are provided “as is.” We make no guarantees regarding outcomes, Supplier performance, or the accuracy of third-party statements. You agree to indemnify and hold harmless the Company for direct or indirect losses arising from your use of the website, including technology or payment processor failures.
If you have medical, legal, or financial questions, you should consult qualified professionals. We expressly disclaim responsibility for actions you take based on information on this website.

22. Termination
We may terminate or restrict your access to this website or services at any time if we believe you have violated these Terms, and we may block access (including by IP address) where appropriate.
23. Governing Law, Arbitration & Venue; Class Action Waiver; Claims Deadline
These Terms are governed by the laws of the State of California, without regard to conflict of laws principles.
Any dispute that cannot be resolved informally shall be resolved by binding arbitration in Los Angeles County, California, under the rules of the American Arbitration Association. The parties will share the arbitrator’s fees equally, and each party will be responsible for its own costs and expenses.
If arbitration is not permitted, disputes shall be resolved exclusively in state or federal courts located in Los Angeles County, California.
Client waives any right to participate in class actions or representative proceedings.
Any claim must be brought within 12 months of the trip end date.
24. Severability; No Waiver; Headings; Entire Agreement
If any provision is deemed unlawful or unenforceable, the remaining provisions remain in full force and effect. Failure to enforce any provision is not a waiver of any other provision.
Headings are for convenience only and do not affect interpretation.
These Terms constitute the entire agreement between Client and Conviva Travel Club relating to website use and travel services.
